1 Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "user," or "chatter") and MegaChat ("we," "us," or "our"), governing your access to and use of the website located at megachat.site and any related services (collectively, the "Platform").

By creating an account, activating your account, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Platform.

2 Eligibility

To use MegaChat, you must meet all of the following requirements:

• Age: You must be at least 18 years old. Minors are strictly prohibited from using the Platform.
• Location: You must be a resident of an African country where MegaChat operates (Kenya, Nigeria, Ghana, Uganda, Tanzania, Rwanda, Cameroon, South Africa, and others).
• Identification: You must provide accurate identity information when requested (national ID or passport) for verification.
• Legal capacity: You must have the legal capacity to enter into binding contracts in your jurisdiction.
• No prior ban: You must not have been previously banned from MegaChat for Terms violations.

We reserve the right to request proof of eligibility at any time. Providing false information may result in immediate account termination without refund.

3 Account Registration

When you register for a MegaChat account, you agree to the following responsibilities:

• One account only: You may create and maintain only one account. Creating multiple accounts is a violation of these Terms and will result in permanent bans for all associated accounts.
• Accurate information: All information you provide (name, phone number, payment details) must be accurate, current, and complete.
• Account security: You are solely responsible for keeping your password and login credentials secure. Do not share your account with anyone.
• Unauthorized access: You must notify us immediately if you suspect unauthorized access to your account via WhatsApp.
• Account ownership: Accounts are non-transferable. You may not sell, trade, or gift your MegaChat account to another person.

4 Activation Fee

To activate your MegaChat account and access earning features, you must pay a one-time activation fee of $4 USD (or local currency equivalent). This fee:

• Is a one-time payment only — you will never be charged again for activation.
• Covers identity verification, anti-fraud screening, and account setup costs.
• Is non-refundable once your account is activated, except in cases of technical failure on our side (see refund policy below).
• Does not include payment processing fees charged by M-Pesa, MoMo, Airtel, PayPal, or card issuers.

4.1 Refund Policy

The activation fee is generally non-refundable, but we will issue a full refund in the following cases:

• You were charged but your account was never activated due to a technical error on our side.
• You accidentally paid twice for the same account (duplicate payment).
• You were banned in error and can prove your innocence.

To request a refund, contact support via WhatsApp within 7 days of payment with your payment receipt. Refunds are processed within 14 business days.

5 Earning & Payments

MegaChat pays you for chatting with foreigners. Your earnings are calculated based on several factors, including chat duration, message count, gifts, bonuses, and client ratings. Here's what you need to know:

5.1 Earnings Calculation

• Earnings are calculated in real time and displayed in your dashboard.
• Earnings vary based on your activity, chat quality, client ratings, and time of day.
• MegaChat does not take commissions from your earnings.
• All earnings are denominated in USD and converted to your local currency at the prevailing exchange rate.

5.2 Withdrawals

• Minimum withdrawal: $5 for mobile money (M-Pesa, MoMo, Airtel Money) and $10 for bank transfer, PayPal, or crypto.
• Withdrawal methods: M-Pesa, MTN MoMo, Airtel Money, bank transfer, PayPal, and cryptocurrency.
• Processing time: Most mobile money withdrawals are processed within 30 seconds; bank transfers may take 1–2 business days.
• Fees: MegaChat does not charge withdrawal fees. However, your payment provider (bank, mobile network) may charge their own fees.
• Frequency: You may withdraw as often as you like — there is no limit.

5.3 Payment Information Accuracy

You are solely responsible for the accuracy of your payment details (phone number, bank account, wallet address). MegaChat is not liable for funds sent to incorrect details provided by you. If a payment fails due to incorrect details, the funds will be returned to your MegaChat wallet.

5.4 Taxes

You are solely responsible for reporting and paying any taxes owed on your MegaChat earnings in your jurisdiction. MegaChat does not withhold taxes and will cooperate with tax authorities as required by law.

6 Prohibited Conduct

To keep MegaChat safe and enjoyable for everyone, you agree not to engage in any of the following:

• Fraud or scams: Attempting to defraud other users, MegaChat, or payment providers.
• Fake profiles: Using fake names, stolen photos, or misrepresenting your identity.
• Multiple accounts: Creating more than one account to circumvent bans or abuse bonuses.
• Harassment: Threatening, stalking, bullying, or sexually harassing other users.
• Explicit content: Sharing nude images, sexual content, or engaging in sexually explicit conversations.
• Hate speech: Slurs, discriminatory language, or content promoting hate based on race, religion, gender, or ethnicity.
• Illegal activity: Promoting or engaging in illegal activities, including drug sales, weapons, or human trafficking.
• Solicitation: Requesting money or financial information from chat partners outside the Platform.
• Sharing personal info: Sharing your or others' phone numbers, addresses, banking details, or social media accounts with chat partners.
• Bots or automation: Using bots, scripts, or automated tools to generate fake chats or inflate earnings.
• Hacking: Attempting to hack, reverse-engineer, or gain unauthorized access to the Platform.
• Scraping: Using automated tools to scrape data, profiles, or content from the Platform.

7 Intellectual Property

All content on the Platform — including the MegaChat name, logo, design, text, graphics, code, and software — is the exclusive property of MegaChat or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, or create derivative works from any part of the Platform without our prior written consent.

The MegaChat name and logo are registered trademarks. You may not use them for any purpose — including in advertisements, product names, or domain names — without our express written permission.

8 User Content

You are solely responsible for any content you post or transmit through the Platform, including messages, photos, and profile information ("User Content").

By posting User Content on MegaChat, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and store your content as needed to operate the Platform. This license ends when you delete your account, except where we are required to retain it for legal reasons.

You represent and warrant that:

• You own or have the necessary rights to all User Content you post.
• Your User Content does not infringe on the rights of any third party.
• Your User Content complies with these Terms and all applicable laws.

We reserve the right to remove any User Content that violates these Terms or that we deem, in our sole discretion, to be inappropriate, offensive, or harmful.

9 Account Suspension & Termination

We reserve the right to suspend or permanently terminate your account at any time, with or without notice, for any of the following reasons:

• Violation of these Terms of Service.
• Fraud, scam activity, or attempted fraud.
• Abusive, threatening, or harassing behavior toward other users or MegaChat staff.
• Creating multiple accounts.
• Providing false or misleading information during registration.
• Suspicion of money laundering or illegal activity.
• Extended inactivity (12+ months with no chats).

9.1 What Happens When Your Account is Terminated?

• Your access to the Platform is immediately revoked.
• All pending earnings are forfeited — including withdrawals in progress.
• The activation fee is not refunded.
• You may be banned from creating a new account.
• We may report you to law enforcement if illegal activity is suspected.

9.2 Voluntary Account Deletion

You may delete your account at any time from your dashboard settings. Before deleting:

• Withdraw all pending earnings (minimum $5).
• Wait for pending withdrawals to complete (usually within 24 hours).
• Understand that deletion is permanent — we cannot recover your account or data after deletion.

The activation fee is non-refundable upon voluntary deletion.

10 Disclaimers

MegaChat is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• That the Platform will be available uninterrupted or error-free.
• That you will earn a specific amount of money.
• That any particular number of chat requests will arrive.
• That foreign users will behave appropriately.
• That data transmission will be 100% secure (no system is).

Earnings vary based on effort, activity, chat quality, and factors outside our control. Any income examples shown on the Platform are for illustration only and are not guarantees of future results.

11 Limitation of Liability

To the maximum extent permitted by law, MegaChat and its directors, employees, partners, and affiliates shall not be liable for any:

• Indirect, incidental, special, or consequential damages.
• Loss of profits, earnings, or income.
• Loss of data or business interruption.
• Damages arising from your use of or inability to use the Platform.
• Actions of other users on the Platform.
• Unauthorized access to your account due to your failure to secure your credentials.

In no event shall MegaChat's total liability to you exceed the total amount you have paid to MegaChat in the 12 months preceding the claim — or $4 USD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

12 Dispute Resolution

We want to resolve any disagreements quickly and fairly. Before taking legal action, you agree to the following process:

12.1 Step 1: Contact Us Directly

If you have a dispute, complaint, or issue with MegaChat, please contact us first via WhatsApp or email. Most issues are resolved within 48 hours.

12.2 Step 2: Good-Faith Negotiation

If we can't resolve the issue through customer support, we'll both make a good-faith effort to negotiate a fair solution within 30 days of your initial complaint.

12.3 Step 3: Mediation or Arbitration

If negotiation fails, the dispute will be resolved through binding arbitration in Nairobi, Kenya, under the rules of the Nairobi Centre for International Arbitration (NCIA). You agree to waive any right to participate in a class action or class-wide arbitration.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Nairobi, Kenya.

13 Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our Platform, business practices, or legal requirements. When we make material changes:

• We'll update the "Last updated" date at the top of this page.
• We'll notify you via email or in-app notification at least 14 days before the changes take effect (except for urgent security or legal changes).
• Continued use of the Platform after changes take effect means you accept the updated Terms.

If you do not agree with the changes, you should stop using the Platform and delete your account within the 14-day notice period.
